Please read Section 20. It requires most disputes to be resolved by binding individual arbitration instead of in court, waives class actions, and explains how to opt out of arbitration within 30 days.

The short version

• We are a marketplace. Clients post projects; Contractors decide which to pursue and contact Clients directly. We are not a contractor, employer, staffing agency, or lead seller.
• We review documents, not people. "Verified" means a Contractor's document met our published checklist on the date shown. We do not run background checks.
• You make your own hiring decisions, including whether a Contractor's insurance and licenses are right for your project.
• We do not sell your personal information.
• Be honest and respectful, and use other users' contact details only for the project they were shared for.

1. Acceptance and Related Agreements

1.1 These Terms of Service ("Terms") govern your use of todaycompliant.com and its related pages, dashboards, and emails (the "Platform"). You accept these Terms by checking the acceptance box when you create an account, or by using the Platform. If you do not agree, do not use the Platform.

1.2 These additional documents also apply, depending on how you use the Platform:

1.3 If these Terms conflict with a membership agreement or the Project Posting Terms on a matter that document specifically covers, that document controls. Section 20 of these Terms controls all dispute resolution.

2. Who We Are

The Platform is operated by TODAY Compliant LLC, an Illinois limited liability company ("TODAY Compliant," "we," "us," or "our"). "You" means the person or business using the Platform. "Clients" are users who post projects or manage contractors, and "Contractors" are independent businesses that hold a Contractor membership.

3. What the Platform Is, and Is Not

3.1 A marketplace. Clients post projects to the Leadboard™. Contractors with an active membership browse projects, decide for themselves which ones to pursue, and contact Clients directly. Clients decide for themselves whether to hire any Contractor. Everything after first contact, including selection, price, scope, schedule, performance, and payment, is solely between the Client and the Contractor.

3.2 What we do. We host the Platform and the Leadboard, review Contractors' licensing and insurance documents against our published Compliance Standards, display the result with a review date, track expiration dates, apply Hold Status when documents or billing lapse, and provide account and dashboard tools.

3.3 What we are not. TODAY Compliant is not a contractor, general contractor, construction manager, staffing agency, day and temporary labor service agency, employment agency, or employer of any Contractor or worker, and does not sell leads. We do not:

• bid on projects or provide a bidding process;
• select, recommend, rank, match, or assign Contractors;
• run background checks of any kind;
• supervise, inspect, schedule, or control any work, or its quality, safety, or timeliness;
• set, negotiate, collect, or hold payment for any work;
• hire, employ, recruit, refer, or place any worker; or
• become a party, guarantor, or agent to any agreement between users.

3.4 Contractors are independent businesses, not our employees, agents, partners, or representatives.

4. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Platform for a business, you confirm that you are authorized to bind it. The Platform is offered for projects in the United States.

5. Accounts

5.1 Provide accurate, current, and complete information, and keep it updated.

5.2 You are responsible for your login credentials and for all activity under your account, including activity by anyone you choose to share your login with. We do not manage who you share your login with. Tell us promptly at legal@todaycompliant.com if you believe your account has been used without your permission.

5.3 Do not create an account in someone else's name, or create a new account after we have closed yours for cause.

6. Contractor Documents and "Verified"

6.1 Contractors submit licenses, certificates of insurance, and other documents required by our Compliance Standards. We review them against the published checklist, record the review date, track expiration dates, and place an account on Hold Status when a required document lapses.

6.2 "Verified" is a defined term in the Compliance Standards. It means only that a document a Contractor submitted met our checklist on the review date shown. It describes documents, not people. It is not a background check, a license to work, a certification, an endorsement, or a guarantee of any Contractor's work, conduct, or continued compliance. Documents can lapse, change, or be cancelled after our review.

6.3 Our review relies on documents Contractors provide and, where we choose, on information from the issuing agency, insurer, or agent. We do not guarantee that any document is genuine, accurate, complete, or current.

7. Hiring Decisions and Insurance

Before you hire anyone: TODAY Compliant does not run background checks, does not recommend Contractors, and does not decide whether a Contractor's insurance or licenses are right for your project. Ask the Contractor for current certificates of insurance and licenses, check references, and put your agreement in writing before any work begins.

7.1 Your decision. Whether to hire any Contractor, and on what terms, is solely your decision.

7.2 Insurance adequacy. Clients see a Contractor's Verified status and review date, not the underlying documents. Whether a Contractor's insurance and licensing are adequate for a particular project is solely the hiring party's responsibility. TODAY Compliant does not determine the adequacy of any coverage.

7.3 Acknowledgment. We may ask you to confirm that you have read this Section before you publish a project or first view a Contractor's contact details.

8. Projects and the Card Hold

8.1 Posting a project is free. On the Basic plan, we place a temporary $100 authorization hold on the Client's card through our payment processor before a project is published, to confirm the card and reduce spam. The hold is not a charge, and TODAY Compliant never captures or keeps it. It is released automatically, usually within 7 days; the Client's card issuer controls when the amount shows as available again. No hold is placed while a Client has an active Pro Plan.

8.2 Optional paid features, such as sponsored placement of a project, may be offered. They will be labeled as sponsored, are charged separately from any card hold, and pay only for placement on the Platform. They do not guarantee any response, hire, or outcome.

8.3 The Project Posting Terms govern what projects may contain, including labor and staffing projects.

9. Memberships, Plans, and Fees

9.1 Contractor memberships are governed by the Contractor Membership Agreement. The Client Pro Plan and other Client plans are governed by the Client Membership Agreement.

9.2 Current prices are shown on our pricing page and at checkout. Paid plans renew automatically until cancelled, as explained in the applicable membership agreement, and can be cancelled online at any time. Payments are processed by our payment processor; we do not receive or store full card numbers.

10. Communications

10.1 We send emails needed to operate your account, such as security, billing, document, Hold Status, project, and policy-change notices. Newsletters and digests include an unsubscribe link.

10.2 By giving us a phone number, you agree that TODAY Compliant may call you from time to time about our business, as described in our Privacy Policy. We do not use autodialers or prerecorded voices, and we do not send text messages. You can ask us to stop sales calls at any time.

10.3 You agree that we may provide agreements, notices, and other communications to you electronically, and that they satisfy any requirement that they be in writing.

11. Use of Contact Information

11.1 Contact details you receive through the Platform, such as a Client's phone number and email address for a project, may be used only to communicate about that project and any work agreed for it.

11.2 You may not sell, rent, share, publish, or add another user's contact details to any marketing, mailing, or calling list; send them text messages or make autodialed or prerecorded calls to them without the consent the law requires; contact anyone who has asked you to stop; or collect contact details or project information in bulk, by hand or by automated means.

11.3 TODAY Compliant does not sell personal information. How we handle personal information is described in our Privacy Policy.

12. Your Content and Photos

12.1 "Content" means anything you post or upload, including projects, profiles, photos, and reviews, other than Contractor compliance documents. You keep ownership of your Content and are responsible for it.

12.2 License. You give TODAY Compliant a non-exclusive, royalty-free, worldwide license to host, store, copy, display, format, and resize your Content in order to operate and promote the Platform. This license ends when you remove the Content or close your account, except that we may keep copies in backups and records for the periods in our Privacy Policy, and we need not recall materials already distributed.

12.3 Content rules. Your Content must be accurate, lawful, and yours to post. Photos must show the project or your own work or business. Do not post:

• people's faces without their permission, vehicle license plates, house numbers, street signs, mail, or documents;
• anyone's personal information, including your own contact details in project descriptions;
• false, misleading, defamatory, obscene, hateful, threatening, or discriminatory content; or
• content that infringes anyone's copyright, trademark, privacy, or publicity rights.

12.4 We do not use facial recognition and do not collect biometric information from any photo.

12.5 We may review, decline, or remove Content that we reasonably believe breaks these Terms or the law. We are not required to review Content, and we do not check that it is accurate. Content reflects the views of the person who posted it, not TODAY Compliant.

13. Reviews

13.1 We may offer, now or in the future, ratings and reviews on the Platform, and we may display reviews publicly posted on third-party services such as Google, labeled with their source.

13.2 Reviews must be honest, based on your own first-hand experience, and free of conflicts of interest. You may not post fake reviews, pay or offer anything for a review, or pressure anyone to change or remove an honest review.

13.3 We may decline, remove, or label reviews that break these rules or the law. We will not remove a review simply because it is negative. Reviews reflect only the opinions of their authors, and we do not verify them. The rules in Section 10 of the Client Membership Agreement apply whenever a review feature is available.

14. Prohibited Conduct

You may not:

• provide false or misleading information, including any false, altered, or borrowed license or insurance document;
• get around, or help anyone get around, document requirements, Hold Status, the card hold, access limits, or security;
• harass, threaten, defame, or discriminate against anyone;
• describe TODAY Compliant, in any communication or contract, as an employer, contractor, agent, guarantor, or party to your work, or say that you are "certified," "approved," "vetted," or "background-checked" by TODAY Compliant;
• post fake or duplicate projects, or use the Platform to advertise, generate leads, or build lists;
• scrape, crawl, copy in bulk, or use bots, scripts, or other automated means on the Platform;
• access another user's account, probe or interfere with the Platform, or upload malicious code;
• reverse-engineer the Platform or use it to build a competing product; or
• use the Platform for any unlawful purpose.

15. Code of Conduct and Reports

15.1 Our Code of Conduct is part of these Terms and applies to everyone who uses the Platform.

15.2 You may report conduct to legal@todaycompliant.com. TODAY Compliant is neutral. We may act on reports as our policies allow, but we do not mediate or decide disputes between users, and we have no duty to act on any report. For disputes about work or payment, contact the other party directly, your consumer protection office, the relevant licensing board, or a court. In an emergency, call 911.

16. Intellectual Property and Copyright Notices

16.1 The Platform, its software, design, text, and data compilations, and the names TODAY Compliant, TODAYcompliant, and Leadboard, with our logos and badges, belong to TODAY Compliant or its licensors. Except as a membership agreement expressly allows, you may not use them without our written permission.

16.2 If you send us suggestions or feedback, we may use them without obligation to you.

16.3 Copyright notices. If you believe Content on the Platform infringes your copyright, send a notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material you claim infringes it and where it appears on the Platform; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the owner.

16.4 A user whose Content was removed may send a counter-notice as permitted by 17 U.S.C. 512(g). We may close the accounts of repeat infringers.

17. Third-Party Services

The Platform uses and links to third-party services, such as our payment processor, maps, license look-up sites, and review sources. Their own terms and privacy policies apply to your use of them, and we are not responsible for them.

18. Disclaimers

18.1 The Platform and everything provided through it are provided "as is" and "as available." To the fullest extent the law allows, TODAY Compliant disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Platform will be uninterrupted, secure, or error-free.

18.2 TODAY Compliant does not warrant the quality, safety, legality, timeliness, or performance of any work; the identity, conduct, licensing, insurance, or reliability of any user; the accuracy of any project, profile, document, or review; or that any Contractor or Client will respond, hire, pay, or perform.

18.3 Some jurisdictions do not allow the exclusion of certain warranties, so some of these disclaimers may not apply to you.

19. Limitation of Liability and Indemnification

19.1 To the fullest extent the law allows, TODAY Compliant and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Platform, any project, any communication between users, or any agreement or work between users, even if advised of the possibility.

19.2 To the fullest extent the law allows, TODAY Compliant's total liability to you for all claims arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the fees you paid us in the 6 months before the event giving rise to the claim, or (b) $100.

19.3 These limits do not apply to liability that the law does not allow to be limited, such as liability for fraud or willful misconduct.

19.4 Indemnification. You will defend, indemnify, and hold harmless TODAY Compliant and its members, managers, employees, and agents from third-party claims, and resulting losses, costs, and reasonable attorneys' fees, arising out of (a) your Content, (b) your breach of these Terms or violation of law, or (c) your dealings, agreements, or disputes with any other user or worker, including any work performed or not performed. This does not cover any loss to the extent it is caused by the negligence or willful misconduct of TODAY Compliant. The membership agreements contain additional indemnities that also apply.

20. Dispute Resolution and Arbitration

This Section affects your legal rights. It requires binding individual arbitration of most disputes and waives class actions and jury trials. You may opt out within 30 days (Section 20.9).

20.1 Scope. This Section applies to any dispute, claim, or controversy between you and TODAY Compliant arising out of or relating to these Terms, any other Legal Center document, the Platform, or your membership or account, whether based in contract, tort, statute, or any other theory ("Dispute"). It applies to Disputes that arose before you accepted these Terms.

20.2 Informal resolution first. Before starting arbitration or a small claims case, the party raising a Dispute must send the other a written notice describing it and the relief sought: to us at legal@todaycompliant.com and 2227 IL-157, Edwardsville, IL 62025, Attn: Legal; to you at the email address on your account. The parties will try in good faith to resolve the Dispute for 30 days after the notice is received. Any limitations period is paused during that time.

20.3 Binding arbitration. If the Dispute is not resolved, it will be resolved by binding arbitration before a single arbitrator administered by the American Arbitration Association ("AAA"), under its Consumer Arbitration Rules if you use the Platform primarily for personal or household purposes, and otherwise under its Commercial Arbitration Rules, as modified by this Section. The Federal Arbitration Act governs this Section.

20.4 Location and format. The arbitration may be conducted by video or by written submissions if the parties agree or the arbitrator decides. Any in-person hearing will take place in the county where you live or, for businesses, in Madison County, Illinois, unless the parties agree otherwise.

20.5 Fees. Payment of AAA fees is governed by the AAA rules. For Disputes under the Consumer Arbitration Rules, we will pay all AAA filing, administration, and arbitrator fees other than the portion the rules assign to you. Each party pays its own attorneys' fees unless the arbitrator awards them under applicable law.

20.6 Class action waiver. You and TODAY Compliant may bring Disputes only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may award relief only to the individual party and only to the extent needed for that party's claim. You and TODAY Compliant each waive any right to a jury trial.

20.7 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies; (b) seek an injunction in court to stop misuse of the Platform, scraping, misuse of contact information, or infringement of intellectual property; and (c) bring a claim that the law does not allow to be arbitrated in court.

20.8 Who decides. The arbitrator decides questions about the scope, interpretation, and enforceability of this Section, except that a court decides whether the class action waiver in Section 20.6 is enforceable. If the class action waiver is found unenforceable for a claim, that claim will be decided by a court, not an arbitrator.

20.9 30-day opt-out. You may opt out of arbitration by emailing legal@todaycompliant.com within 30 days after you first accept these Terms, with your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

20.10 Court venue. Any Dispute not subject to arbitration will be brought in the state or federal courts serving Madison County, Illinois, except for small claims cases, which may be brought where you live. You and TODAY Compliant consent to those courts' jurisdiction.

20.11 Governing law. These Terms and all Disputes are governed by the laws of the State of Illinois and applicable federal law, without regard to conflict-of-laws rules.

20.12 Changes to this Section. If we materially change this Section, the change will not apply to a Dispute that we received notice of before the change took effect.

21. Suspension and Termination

21.1 You may close your account at any time. Paid plans are cancelled as explained in the applicable membership agreement.

21.2 We may remove Content or suspend or close an account immediately, with notice, if we reasonably believe the user broke these Terms or the law, gave false information or documents, or created a risk of harm to others or to TODAY Compliant. We may close any account for other reasons with at least 30 days' notice; the membership agreements explain any refund.

21.3 Sections 11, 12.2 (as to backups and records), 16, 18, 19, 20, and 23 survive termination.

22. Changes to These Terms

We may update these Terms. We will post the updated version with a new Last Updated date and email account holders at least 30 days before a material change takes effect. If you keep using the Platform after the change takes effect, you accept the updated Terms. If you do not agree, you may close your account before then. Changes do not apply to a Dispute that arose before the change.

23. General Terms

23.1 These Terms and the documents listed in Section 1.2 are the entire agreement between you and TODAY Compliant about the Platform.

23.2 You may not transfer your rights under these Terms without our written consent. We may transfer them to a successor in a merger, acquisition, or sale of assets.

23.3 If any part of these Terms is found unenforceable, it will be enforced as far as permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver.

23.4 Neither party is liable for delay or failure caused by events beyond its reasonable control, such as outages of hosting, payment, or email providers, natural disasters, or government action.

23.5 Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship. There are no third-party beneficiaries.
