TODAY Compliant LLC
Effective Date: September 28, 2026 · Last Updated: September 28, 2026
Important: This Agreement includes a binding arbitration provision and a class action waiver, found in Section 20 of our Terms of Service and applied to this Agreement by Section 23. They affect how disputes are resolved. Please read them carefully.
Key terms at a glance
- We are a marketplace, not a lead seller. Your membership gives you access to the Leadboard™, where you browse projects and decide for yourself which Clients to contact. We do not sell leads, assign jobs, or guarantee work.
- Month to month. Your membership renews automatically each month until you cancel. You can cancel at any time from your dashboard. There is no cancellation fee. You keep access through the end of the month you paid for. We do not give refunds or partial-month credits.
- Documents must stay current. You must keep valid licenses and insurance, including naming TODAY Compliant LLC as an additional insured. If a document lapses or a payment fails, your account goes on Hold Status and is hidden until it is fixed.
- Client contact details are for that project only. You may not sell, share, or reuse them.
- No background checks. We review documents, not people. "Verified" means a document met our published checklist on a stated date.
- You run your own business. You are an independent business, not our employee, agent, or partner.

1. Parties and How This Agreement Works
1.1 Parties. This Contractor Membership Agreement ("Agreement") is between TODAY Compliant LLC, an Illinois limited liability company ("TODAY Compliant," "we," "us," or "our"), and the contractor business that creates a Contractor account ("you," "your," or "Contractor"). "You" includes your business and anyone who uses your account or performs work for your business, including your owners, employees, and subcontractors.
1.2 Authority. The individual who accepts this Agreement represents that they are an owner, officer, or manager of the business with authority to bind it.
1.3 Related documents. This Agreement incorporates our Terms of Service, Compliance Standards, and Privacy Policy. If this Agreement conflicts with the Terms of Service about your membership, this Agreement controls. The Compliance Standards control what documents are required and how they are reviewed. Section 20 of the Terms of Service controls dispute resolution.
1.4 Acceptance. You accept this Agreement by checking the acceptance box when you create a Contractor account or start a membership, or by using a membership. Your electronic acceptance has the same effect as a signature.
1.5 Replaces earlier agreements. This Agreement replaces the TODAYcompliant Pro Agreement, the Contractor Pro Agreement, and the Membership Agreement. None of the terms of those earlier agreements apply to you after you accept this Agreement.
2. What the Platform Is, and Is Not
2.1 How it works. Clients post projects on the Leadboard™. Contractors with an active membership browse those projects and decide for themselves which ones to pursue. You contact the Client directly. From that point, you and the Client deal with each other directly.
2.2 What we do. We host your business profile and the Leadboard. We review your compliance documents against our published Compliance Standards, display the result with a review date, track expiration dates, send reminders, and apply Hold Status when documents or billing lapse. We process your membership fees.
2.3 What we do not do. TODAY Compliant does not:
- sell leads, contact lists, or personal information;
- bid, assign jobs, match, rank, or recommend Contractors to Clients;
- guarantee any number of projects, contacts, or jobs, or that any Client will hire you or pay you;
- run background checks of any kind;
- supervise, inspect, schedule, or approve your work;
- take part in, or handle payments under, your contracts with Clients;
- mediate disputes between you and Clients; or
- hire, employ, recruit, or place any worker. TODAY Compliant is not a staffing or day and temporary labor service agency.
2.4 Labor and staffing projects. Some Clients, including staffing companies, may post projects requesting labor. If you supply workers to anyone, you alone are the employer of those workers. You are responsible for their wages, taxes, workers' compensation, safety, and every registration and legal obligation that applies to you. That includes registration and compliance under the Illinois Day and Temporary Labor Services Act (820 ILCS 175) or similar laws in other states, if they apply to you.
3. Eligibility
To hold a membership, you must:
- be a business, or an individual acting for a business, and use the Platform only for business purposes;
- be at least 18 years old and able to form a binding contract;
- be validly organized and in good standing where you are organized (see Section 9);
- submit the documents the Compliance Standards require for your trades and states, and keep them current; and
- provide accurate information and keep it accurate.
We may decline or end any membership application that does not meet these requirements, as described in Section 22.
4. Your Membership
4.1 What your membership includes. While your membership is active and not on Hold Status, you may:
- display a business profile on the Platform;
- browse projects on the Leadboard in the trades and states you select;
- see the phone number and email address each Client provides for a project, so that you can contact that Client about that project (see Section 11);
- save projects; and
- receive document-expiration reminders, project digests, and account notices.
4.2 No guarantees about projects. The number, type, size, location, and quality of projects on the Leadboard depend on what Clients choose to post. They vary with season, market, and area. Project information is written by Clients. We do not verify it, and we do not guarantee that it is accurate or complete, that the Client is still interested, or that the Client can pay. Other Contractors may see and pursue the same projects. Your membership is not exclusive, and fewer projects than you expected is not a breach of this Agreement or a reason for a refund.
4.3 Changes to features. We may add, change, or remove Platform features, including how the Leadboard, search, and profiles look and work. If we remove a feature that is a main part of your membership, we will tell you in advance, and you may cancel under Section 5.
4.4 Your account. Keep your login credentials private. Do not share your account with another business. You are responsible for everything done through your account. Tell us right away at legal@todaycompliant.com if you think your account has been used without permission.
5. Fees, Automatic Renewal, and Cancellation
Automatic renewal disclosure. Your membership renews automatically every month, and we charge the monthly membership fee shown at checkout to your payment method on file at the start of each month, until you cancel. You can cancel at any time from your dashboard (Billing › Cancel membership) or by emailing legal@todaycompliant.com. If you cancel, you keep access through the end of the month you have paid for, and you will not be charged again.
5.1 Membership fee. The monthly membership fee is the amount shown on our pricing page and at checkout when you join. We charge it in advance for each monthly billing period.
5.2 Payment authorization. You authorize us and our payment processor to charge your payment method for each monthly fee and any applicable taxes until you cancel. You authorize your card issuer to give us updated card details, if it offers that service. Payments are processed by our payment processor; we do not receive or store your full card number.
5.3 Price changes. We will give you at least 30 days' notice by email before a new price applies to your membership. The new price applies from your first billing period that starts after the notice period ends. If you do not want to pay the new price, you may cancel before it takes effect.
5.4 Cancellation. You may cancel at any time. There is no cancellation fee and no early termination fee. Cancellation takes effect at the end of your current paid month. Before you confirm, we may offer you a Paused Membership (Section 6).
5.5 No refunds. Fees are non-refundable. We do not give refunds, prorated amounts, or credits for partial months, unused time, or periods with few or no projects, except as stated in Section 22.4 or where the law requires.
5.6 Taxes. Fees do not include sales, use, or similar taxes. If any tax applies, we will add it to your charge and show it on your receipt.
5.7 Failed payments. If a payment fails, we may try the charge again and your account goes on Hold Status (Section 7.4) until it is paid. If a payment remains unpaid 15 days after it was due, we may cancel your membership. You remain responsible for any amount already due, and for reasonable costs of collecting it.
5.8 Billing questions. If you believe a charge is wrong, email legal@todaycompliant.com within 60 days of the charge. We will review it and correct any error. Please contact us before filing a dispute with your card issuer.
6. Paused Membership
6.1 When it is offered. When you start to cancel, we may offer you the option to pause your membership instead ("Paused Membership") at the reduced monthly pause fee shown at that time. Paused Membership is offered only in the cancellation process and is not a separate plan.
6.2 Eligibility and limits. Unless we state otherwise when we offer it:
- you must have paid for at least 3 full months of active membership before you can pause;
- you may pause for no more than 4 months in total in any rolling 12-month period; and
- when you reach that limit, your membership is cancelled automatically. We will not move you back to the full membership fee without your action.
6.3 While paused. The pause fee renews monthly, like the membership fee, and Section 5 applies to it. While paused, your profile is hidden from the directory and search, you cannot use the Leadboard, and you continue to receive account notices, digests, and newsletters. A direct link to your profile may still open, showing that you are not currently active. Your "member since" date is kept.
6.4 Coming back. You can return to active membership at any time. Before your profile is shown again, your compliance documents must be current and reviewed under Section 7. The full membership fee starts again from the date you return.
7. Compliance Documents, Review, and Hold Status
7.1 What you must submit. You must upload the licenses, certificates of insurance, endorsements, and other documents the Compliance Standards require for your trades and states, and upload renewals before the old documents expire. Documents must be genuine, current, complete, and unaltered.
7.2 Our review. We review each document against the checklist in the Compliance Standards and record the date of our review. We may confirm information with the issuing agency, insurance carrier, or agent named on a document, including through public license look-up databases. We may decline a document that does not meet the checklist, and we may ask for more information. Our review is limited to what the Compliance Standards describe.
7.3 Reminders. As a courtesy, we send reminders before documents on file expire. It is your responsibility to keep your documents current whether or not you receive a reminder.
7.4 Hold Status. Your account goes on Hold Status automatically if:
- a required document expires, is cancelled, or is found not to meet the Compliance Standards;
- a payment fails (Section 5.7); or
- we reasonably believe information you gave us is false or misleading, while we look into it.
While on Hold Status, your profile is hidden from the directory and search, your Verified status is not shown, and you cannot use the Leadboard. Clients who saved or contacted you through the Platform may be told that you are not currently active. Hold Status ends when the reason for it is fixed and, for documents, when we have reviewed the new document.
7.5 Fees during Hold Status. Your membership fee continues during a Hold Status caused by documents, because your membership is still open while you fix it. If a document Hold is not fixed within 30 days, we may cancel your membership. You may also cancel at any time under Section 5.4.
7.6 Tell us about changes. You must tell us within 5 business days if any license is suspended, revoked, restricted, or not renewed, or if any required insurance policy is cancelled, not renewed, or reduced below what the Compliance Standards require.
8. Insurance and Additional Insured Requirement
8.1 Your insurance. For as long as you hold a membership, you must carry, at your own cost, the insurance that the law requires for your business and trades, and at least the coverage the Compliance Standards require. You are responsible for deciding whether that coverage is adequate for any particular project. Meeting our minimums does not mean your coverage is adequate for a given job.
8.2 Additional insured. Your commercial general liability policy must name TODAY Compliant LLC as an additional insured by endorsement, and your certificate of insurance must show it. This is a pass-or-fail requirement: a certificate that does not show it will not be accepted. The certificate holder must read:
TODAY Compliant LLC
2227 IL-157
Edwardsville, IL 62025
8.3 Workers' compensation. If the law requires you to carry workers' compensation insurance, you must carry it and submit proof. If you are exempt, you must submit the proof of exemption the Compliance Standards describe.
8.4 Clients decide adequacy. Clients see your Verified status and review date, not your documents. We encourage Clients to ask you for current certificates and licenses before work begins. You agree to provide them on request. Whether your insurance is adequate for a particular project is between you and the Client. TODAY Compliant does not decide it.
9. Licensing, Good Standing, and Your Own Screening
9.1 Licenses. You must hold and keep current every license, registration, permit, and certification that the law requires for the work you offer and perform, in each place where you perform it. You may list only trades and specialties you are qualified and licensed to perform.
9.2 Good standing. Your business, and every assumed name or d/b/a you use on the Platform, must be validly organized, registered, and in good standing throughout your membership. You must own or be authorized to use every business name you display.
9.3 Your own screening. TODAY Compliant does not run background checks on you, your owners, your employees, or your subcontractors. You are solely responsible for performing any background checks, drug testing, training, and other screening that the law, your trade, or your clients require of the people who work for you.
10. Your Work and Conduct
10.1 Your work. You are solely responsible for the work you agree to perform, including its quality, safety, pricing, scheduling, permits, inspections, warranties, and compliance with building codes and all other laws. Your contract for any work is between you and the Client.
10.2 Conduct. You must:
- deal honestly and fairly with Clients, and not make false or misleading statements about your business, credentials, insurance, or prices;
- not perform, or allow anyone working for you to perform, work while impaired by alcohol or drugs;
- follow the Terms of Service and our Code of Conduct; and
- comply with all laws that apply to your business, including consumer protection, home repair, contractor licensing, employment, anti-discrimination, and privacy laws.
10.3 Subcontractors. If anyone other than your employees performs work or contacts Clients for you, you are responsible for their acts and omissions as if they were your own, and you must make sure they follow this Agreement.
10.4 Do not charge Clients for the Platform. You may not ask a Client to pay any part of your membership fee or describe any charge as a TODAY Compliant fee.
11. Client Contact Information
11.1 What you see. For each project, you may see the phone number and email address the Client provided so that Contractors can reach them. We do not show you the Client's name or the project's street address.
11.2 Permitted use only. You may use a Client's contact information only to contact that Client about that project, and to carry out any work the Client hires you for. You may not:
- sell, rent, trade, share, publish, or give it to anyone, including other contractors, lead companies, or marketing services;
- add it to a marketing, mailing, or calling list, or use it to market other services, unless the Client separately agrees in writing;
- send text messages, or make autodialed, prerecorded, or artificial-voice calls, to a Client unless the Client has given you the consent the law requires;
- contact a Client again after they ask you to stop; or
- copy, download, or collect project or contact information in bulk, by hand or by automated means.
11.3 Keep it secure. You must protect Client contact information with reasonable safeguards and delete it when you no longer need it for the project or for your legal record-keeping. If you learn that Client information in your possession has been accessed or disclosed without permission, you must tell us promptly at legal@todaycompliant.com.
11.4 Serious breach. Misusing Client contact information is a material breach of this Agreement. It allows us to suspend or terminate your membership immediately under Section 22, and it is covered by your indemnity in Section 21.
12. Your Profile, Badges, and "Verified"
12.1 Accurate profile. Everything on your profile must be true, current, and yours. We may edit formatting, and we may remove or correct information we reasonably believe is inaccurate or breaks this Agreement.
12.2 What "Verified" means. "Verified" is a defined term in the Compliance Standards. It means that a document you submitted was reviewed against our published checklist and met it on the review date shown. It describes documents, not people. It is not a background check, a license to work, a rating of your skill, or an endorsement or guarantee by TODAY Compliant.
12.3 Displaying badges. We may display Verified status, review dates, and "member since" and "verified since" dates on your profile. If you cancel, your "member since" date ends, and a new date starts if you rejoin. You may refer to your Verified status outside the Platform only if you (a) state it accurately, with the review date, (b) link to or name our Compliance Standards, and (c) stop immediately if your account goes on Hold Status or your membership ends. You may not describe yourself as "certified," "approved," "endorsed," "vetted," or "background-checked" by TODAY Compliant.
13. Content and Photos
13.1 Your content. "Content" means anything you post or upload, other than compliance documents, including your business name, logo, descriptions, and photos. You keep ownership of your Content.
13.2 License to us. You give TODAY Compliant a non-exclusive, royalty-free, worldwide license to host, store, copy, display, format, and resize your Content, and to use your business name, logo, and profile, in order to operate and promote the Platform, including showing your profile to Clients and featuring it in Platform marketing. This license ends when you remove the Content or your account is closed, except that we may keep copies in backups and records for the periods in our Privacy Policy, and we need not recall marketing materials already distributed.
13.3 Your promises about Content. You represent that you own or have permission to use your Content and to grant this license, including permission from any person shown in a photo, and that your Content does not infringe anyone's rights or break any law.
13.4 Photo rules. Photos must show your own work or business. Do not post photos that show people's faces without their permission, vehicle license plates, house numbers, street signs, documents, or other personal information about anyone else. Do not post content that is false, misleading, offensive, discriminatory, or unlawful. We do not use facial recognition and do not collect biometric information from any photo.
13.5 Our right to remove. We may review, decline, or remove any Content that we reasonably believe breaks this Agreement or the Terms of Service.
13.6 Feedback. If you send us suggestions or comments about the Platform, we may use them without owing you anything. We will ask your permission before publishing a testimonial with your name.
14. Reviews and Ratings
14.1 Third-party reviews. We may display reviews of your business that are publicly posted on third-party services such as Google, as described in our Privacy Policy. If we do, each review will be labeled with its source, shown as the source posted it, and kept separate from any ratings on the Platform. We do not verify third-party reviews, and we are not responsible for what they say.
14.2 Removal requests. You may ask us to stop displaying a particular third-party review on the Platform by emailing legal@todaycompliant.com. Removal from the Platform does not remove the review from its source.
14.3 Honest reviews only. You may not post, buy, write, or arrange fake reviews of your business or anyone else's, offer anything of value in exchange for a positive review, or pressure anyone to change or remove an honest review.
15. Calls and Emails From Us
15.1 Calls. By giving us a phone number, you agree that TODAY Compliant may call you at that number from time to time about our business, including your account, membership, compliance documents, projects, and our services and offers. You confirm the number is a business number you are authorized to provide. Our staff place these calls individually. We do not use autodialers or prerecorded or artificial voices, and we do not send text messages. You can ask us to stop sales calls at any time by telling the caller or emailing legal@todaycompliant.com; we will still contact you about your account and documents.
15.2 Emails. We will email you about your account, billing, documents, Hold Status, and projects. You cannot opt out of these while your membership is open. Newsletters and digests include an unsubscribe link.
15.3 Keep your contact details current. You must keep your email address and phone number current, because we send important notices, including document-expiration reminders and price-change notices, to the details on file.
16. Independent Business Relationship
16.1 You are an independent business. Nothing in this Agreement makes you an employee, agent, partner, joint venturer, or franchisee of TODAY Compliant, or makes TODAY Compliant an employer of anyone who works for you.
16.2 You alone decide which projects to pursue, whether to accept any work, your prices, your methods, your schedule, your tools and equipment, and who works for you. TODAY Compliant has no right to control how you perform any work. Our document and conduct requirements exist to operate a compliance-focused marketplace. They are not direction or control over your work.
16.3 You are responsible for your own taxes, insurance, licenses, and the wages, benefits, and workers' compensation of anyone who works for you. You may not represent that you act for or on behalf of TODAY Compliant.
17. Confidentiality
17.1 "Confidential Information" means non-public information we share with you through your membership, including Client contact information, non-public project details, and non-public information about how the Platform works. It does not include information that is public through no fault of yours, or that you already had lawfully.
17.2 You must keep Confidential Information confidential, use it only as this Agreement allows, and not disclose it except to your own employees and subcontractors who need it for a project and are bound to keep it confidential, or as the law or a court order requires.
18. Our Intellectual Property and Platform Rules
18.1 Our property. The Platform and its software, design, text, compilation of data, and the names TODAY Compliant, TODAYcompliant, and Leadboard, with our logos and badges, belong to TODAY Compliant. Except for the limited badge use allowed in Section 12.3, you may not use our names, logos, or badges without our written permission, or register any trademark or domain name that includes or resembles them.
18.2 Platform rules. You may not scrape, crawl, copy in bulk, or use bots or scripts on the Platform; try to get around Hold Status, access limits, or security; access another member's account; reverse-engineer the Platform; or use the Platform to send spam or to build a competing product or list.
19. Disclaimers
19.1 The Platform and your membership are provided "as is" and "as available." To the fullest extent the law allows, TODAY Compliant disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Platform will be uninterrupted or error-free.
19.2 We do not guarantee any number or quality of projects, contacts, or jobs; the accuracy of any project information or Client information; that any Client will hire or pay you; or the conduct of any Client. You deal with Clients at your own risk and should take the precautions you consider appropriate.
20. Limitation of Liability
20.1 To the fullest extent the law allows, TODAY Compliant will not be liable to you for any lost profits, lost business opportunities, lost data, or indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to this Agreement or the Platform, even if we were told they were possible.
20.2 To the fullest extent the law allows, TODAY Compliant's total liability to you for all claims arising out of or relating to this Agreement or the Platform will not exceed the greater of (a) the membership fees you paid us in the 6 months before the event giving rise to the claim, or (b) $100.
20.3 These limits do not apply to liability that the law does not allow to be limited, such as liability for fraud or willful misconduct.
21. Indemnification
21.1 You will defend, indemnify, and hold harmless TODAY Compliant and its members, managers, officers, employees, and agents from and against all third-party claims, and all resulting losses, damages, judgments, settlements, fines, penalties, costs, and reasonable attorneys' fees, arising out of or relating to:
- any work you or anyone working for you performs, or fails to perform, including property damage, bodily injury, or death;
- your dealings, contracts, or disputes with any Client or worker;
- your misuse of Client contact information, or any call, text, or message you send in violation of law or Section 11;
- your Content, or any claim that it infringes someone's rights;
- any false or misleading document or statement you provide, or any lapse in your licenses or insurance;
- your employment, classification, pay, or treatment of workers; or
- your breach of this Agreement or violation of any law.
21.2 This indemnity does not cover any loss to the extent it is caused by the negligence or willful misconduct of TODAY Compliant.
21.3 We will notify you promptly of any claim, let you control the defense with counsel reasonably acceptable to us, and cooperate at your expense. We may take part with our own counsel at our own cost. You may not settle a claim in a way that admits fault by us or imposes an obligation on us without our written consent.
22. Suspension and Termination
22.1 By you. You may cancel your membership at any time under Section 5.4.
22.2 By us, for cause. We may suspend or terminate your membership immediately, with notice to you, if we reasonably believe that you:
- submitted a false, altered, or misleading document or statement;
- misused Client contact information or Confidential Information;
- engaged in fraud, harassment, threats, discrimination, or unlawful conduct;
- materially breached this Agreement or the Terms of Service; or
- created a risk of harm to Clients, the public, or TODAY Compliant.
22.3 By us, other reasons. We may also end your membership for any other reason, or stop offering memberships in your area or trade, by giving you at least 30 days' notice.
22.4 Refunds on termination. If we end your membership under Section 22.3, we will refund any fee you prepaid for the part of the billing period after your membership ends. If we end it under Section 22.2, no refund is owed.
22.5 After termination. When your membership ends, your profile is removed from public view, your access to the Leadboard and Client contact information ends, and you must stop displaying any TODAY Compliant badge. Sections 11, 13.2 (as to backups and records), 16, 17, 19, 20, 21, 23, 25, and any payment obligations already due survive.
23. Disputes and Governing Law
23.1 Talk to us first. Before starting any formal proceeding, please email legal@todaycompliant.com describing the issue. Each party will try in good faith to resolve it within 30 days.
23.2 Arbitration and class action waiver. Any dispute arising out of or relating to this Agreement, your membership, or the Platform will be resolved under the Dispute Resolution and Arbitration section (Section 20) of our Terms of Service, including its binding individual arbitration, class action waiver, and exceptions. That section is part of this Agreement.
23.3 Governing law. This Agreement is governed by the laws of the State of Illinois and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.
23.4 Time to bring claims. To the fullest extent the law allows, any claim you have arising out of or relating to this Agreement must be started within one year after it arises, or it is permanently barred.
24. Changes to This Agreement
We may update this Agreement. We will post the updated version with a new Last Updated date and email you at least 30 days before a material change takes effect. Changes do not apply to a dispute that arose before the change. If you continue your membership after the change takes effect, you accept the updated Agreement. If you do not agree, you may cancel before the change takes effect under Section 5.4.
25. General Terms
25.1 Assignment. You may not transfer this Agreement or your account without our written consent. We may transfer this Agreement to an affiliate or to a successor in a merger, acquisition, or sale of assets.
25.2 Entire agreement. This Agreement, with the documents it incorporates, is the entire agreement between you and TODAY Compliant about your membership. No sales conversation, estimate, or marketing statement changes it.
25.3 Severability. If any part of this Agreement is found unenforceable, it will be enforced to the maximum extent permitted, and the rest remains in effect.
25.4 No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
25.5 Events beyond control. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as outages of hosting, payment, or email providers, natural disasters, or government action. This does not excuse payment of fees already due.
25.6 Privacy. We handle personal information as described in our Privacy Policy.
25.7 Headings. Headings and the "Key terms at a glance" summary are for convenience only. The numbered sections control.
26. Contact and Notices
26.1 We send notices to the email address on your account. Notices are effective when sent.
26.2 You may send notices, cancellation requests, and questions to:
