Client Membership Agreement

Last updated September 28, 2026.

TODAY Compliant LLC

Effective Date: September 28, 2026 · Last Updated: September 28, 2026

Important: This Agreement includes a binding arbitration provision and a class action waiver, found in Section 20 of our Terms of Service and applied to this Agreement by Section 17. Please read them carefully.

Key terms at a glance

  • Posting a project is always free. We never charge a fee to post.
  • $100 card hold on the Basic plan. Before a project is published, we place a temporary authorization hold on your card to confirm it is valid. We never charge or keep it. It is released automatically, usually within 7 days.
  • Optional Pro Plan. A monthly paid plan adds contractor-management tools and removes the card hold. It renews monthly until you cancel, and you can cancel at any time.
  • You choose and hire contractors yourself. We do not recommend, supervise, or guarantee any contractor, and we do not run background checks.
  • You decide whether a contractor's insurance and licenses are right for your project. Ask for current copies before work begins.
  • We do not sell your personal information or your projects.

1. Parties and How This Agreement Works

1.1 Parties. This Client Membership Agreement ("Agreement") is between TODAY Compliant LLC, an Illinois limited liability company ("TODAY Compliant," "we," "us," or "our"), and the person or business that creates a Client account ("you," "your," or "Client"). If you accept for a business, you confirm that you have authority to bind it, and "you" means that business.

1.2 Related documents. This Agreement incorporates our Terms of Service, Project Posting Terms, Compliance Standards, Code of Conduct, and Privacy Policy. The Project Posting Terms govern the content of your projects. If this Agreement conflicts with the Terms of Service about your Client account or plan, this Agreement controls.

1.3 Acceptance. You accept this Agreement by checking the acceptance box when you create a Client account, post a project, or start a Pro Plan. Your electronic acceptance has the same effect as a signature.

1.4 Replaces the earlier agreement. This Agreement replaces the earlier "TODAYcompliant Membership Agreement." None of that earlier agreement's terms apply to you after you accept this Agreement.

2. What the Platform Is, and Is Not

2.1 How it works. You post a project. It appears on the Leadboard™. Contractors with an active membership browse projects and decide for themselves whether to contact you. You decide whether to talk to, hire, or pay any Contractor, on terms you agree with that Contractor directly.

2.2 What we do. We host the Platform, publish your projects, review Contractor licensing and insurance documents against our published Compliance Standards, show the result as a dated Verified status, and provide the account and dashboard tools of your plan.

2.3 What we do not do. TODAY Compliant does not:

  • sell your personal information, your contact details, or your projects;
  • bid, recommend, rank, match, or assign Contractors to you;
  • run background checks of any kind;
  • supervise, inspect, schedule, or guarantee any work;
  • take part in, or handle payments under, your agreements with Contractors;
  • decide or mediate disputes between you and a Contractor; or
  • hire, employ, recruit, or place any worker.

3. Eligibility and Your Account

3.1 Eligibility. You must be at least 18 years old and able to form a binding contract, and you must provide accurate information and keep it accurate.

3.2 Your login. Your account belongs to you. If you share your login with anyone, including your own staff, you do so at your own choice and risk, and you are responsible for everything done through your account. We do not manage, limit, or monitor who you give your login to. Tell us promptly at legal@todaycompliant.com if you believe your account has been used without your permission.

3.3 One business, one account. Do not create accounts in someone else's name, or create a new account after we have closed yours for cause.

4. Plans

PlanWhat it includesCost

Pro PlanEverything in Basic, plus expanded dashboard tools to organize and track a larger number of the contractors you work with (Section 9). No card hold when you post projects.Monthly fee shown on our pricing page and at checkout

4.1 Posting a project is free on every plan. We describe current plan features on our pricing page. We may improve or change features, and Section 6.5 explains what happens if we remove a main Pro Plan feature.

5. The Card Hold

5.1 What it is. On the Basic plan, before a project is published, we ask our payment processor to place a temporary authorization hold of $100 on your card. The hold confirms that the card is valid and helps keep fake and spam projects off the Leadboard.

5.2 We never charge it. The hold is not a fee, a deposit, or a charge. TODAY Compliant never collects, captures, or keeps any part of it for any reason.

5.3 Release. The authorization expires and is released automatically, usually within 7 days. After release, the time it takes for the amount to show as available again is controlled by your card issuer, not by us.

5.4 If the hold fails. If the hold cannot be placed, the project will not be published until a valid card is provided.

5.5 Pro Plan. No card hold is placed on projects posted while your Pro Plan is active.

6. Pro Plan Fees, Renewal, and Cancellation

Automatic renewal disclosure. The Pro Plan renews automatically every month, and we charge the monthly fee shown at checkout to your payment method on file at the start of each month, until you cancel. You can cancel at any time from your dashboard (Billing › Cancel plan) or by emailing legal@todaycompliant.com. If you cancel, you keep Pro Plan features through the end of the month you have paid for, and you will not be charged again.

6.1 Payment authorization. You authorize us and our payment processor to charge your payment method for each monthly fee and any applicable taxes until you cancel, and you authorize your card issuer to give us updated card details if it offers that service. We do not receive or store your full card number.

6.2 Price changes. We will email you at least 30 days before a new price applies to your Pro Plan. If you do not want to pay the new price, you may cancel before it takes effect.

6.3 Cancellation. You may cancel at any time. There is no cancellation fee. When the paid month ends, your account moves to the Basic plan, your projects stay up, and future projects require the card hold. If you are tracking more contractors than the Basic plan allows, you keep access to your records, but you cannot add more until you are within the limit or return to the Pro Plan.

6.4 No refunds. Fees are non-refundable. We do not give refunds, prorated amounts, or credits for partial months or unused time, except as stated in Sections 6.5 and 18.3 or where the law requires.

6.5 Feature removal. If we remove a main Pro Plan feature, we will tell you in advance, and you may cancel and receive a refund of any prepaid fee for the rest of that month.

6.6 Failed payments. If a Pro Plan payment fails, we may retry it. If it is still unpaid 15 days after it was due, your account moves to the Basic plan.

6.7 Taxes and billing questions. Fees do not include sales or similar taxes, which we add where required. If you believe a charge is wrong, email us within 60 days of the charge and we will correct any error.

7. Optional Paid Features and Sponsored Placement

7.1 We may offer optional paid features, such as sponsored or featured placement of a project. The price and details will be shown before you buy, and you will not be charged for any optional feature unless you choose it.

7.2 Sponsored or featured projects will be labeled as sponsored. Sponsored placement affects only where a project appears. It does not mean that TODAY Compliant endorses the project, and it does not guarantee that any Contractor will respond.

8. Choosing and Working With Contractors

8.1 Your decision. You alone decide whether to talk to, hire, or pay any Contractor, and on what terms. Your agreement for any work is between you and the Contractor.

8.2 What "Verified" means. A Contractor's Verified status means only that a document the Contractor submitted met our published checklist on the date shown. It describes documents, not people. It is not a background check, a rating of skill or honesty, or a guarantee of anything. Documents can lapse or change after our review.

8.3 Insurance and licenses are your call. You see a Contractor's Verified status and review date, not the documents themselves. Before any work begins, ask the Contractor for current certificates of insurance and licenses, and confirm that the coverage and licensing are right for your project. Deciding whether a Contractor's insurance is adequate for your project is your responsibility, not ours.

Before you hire: TODAY Compliant does not run background checks and does not decide whether a Contractor's insurance is enough for your job. Get current documents from the Contractor, check references, and put your agreement in writing.

8.4 Acknowledgment. We may ask you to confirm that you have read the statement above when you post a project or first view a Contractor's contact details.

8.5 Staffing and labor projects. If you post a project requesting workers, you are responsible for every obligation you have to those workers as their employer or placing agency, as described in the Project Posting Terms.

9. Your Contractor Dashboard

9.1 Your dashboard lets you organize and track contractors you work with, including their Verified status on the Platform. The Pro Plan raises the number of contractors you can track.

9.2 Dashboard information is a convenience, not a guarantee. Verified status reflects our most recent review and may not reflect later changes. You remain responsible for your own compliance decisions and records, including any requirements you set for your own contractors.

9.3 If you enter information about contractors into your dashboard, you confirm that you have the right to do so. You may use contractor information you see through the Platform only to manage your own work with those contractors, and not to sell, publish, or market to them.

10. Reviews and Ratings

10.1 Future feature. We may offer, now or in the future, the ability for Clients and Contractors to post ratings and reviews of each other on the Platform. We may also display reviews that are publicly posted on third-party services such as Google, labeled with their source. This Section applies whenever any review feature is available.

10.2 Your reviews must be honest. Any review you post must:

  • be based on your own first-hand experience with the business you review;
  • be truthful, and make clear what is fact and what is your opinion;
  • not be written by, or for, anyone who owns, works for, or is related to the business reviewed or a competitor;
  • not be paid for or given in exchange for anything of value, including a discount or refund; and
  • follow our Code of Conduct, and not contain personal information, threats, hate, or unlawful content.

10.3 How we moderate. We may decline, remove, or label a review that we reasonably believe breaks these rules or the law, is fake or conflicted, or is subject to a valid legal complaint. We will not remove or hide a review simply because it is negative. We do not edit the substance of reviews.

10.4 Responses and removal requests. The business reviewed may post one public response. Anyone may ask us to review a specific review by emailing legal@todaycompliant.com. Removing a third-party review from the Platform does not remove it from its original source.

10.5 Reviews are users' opinions. Reviews reflect only the opinions of the people who write them, not the views of TODAY Compliant. We do not verify reviews and are not responsible for what they say.

11. Your Content

11.1 "Content" means anything you post, including projects, photos, and reviews. You keep ownership of your Content and are responsible for it.

11.2 You give TODAY Compliant a non-exclusive, royalty-free, worldwide license to host, store, copy, display, format, and resize your Content, in order to operate and promote the Platform. This license ends when you remove the Content or close your account, except that we may keep copies in backups and records for the periods in our Privacy Policy, and we need not recall materials already distributed. Examples of past projects shown to visitors never include your contact details or street address.

11.3 You confirm that you have the right to post your Content, including permission from anyone shown in a photo, and that it does not infringe anyone's rights or break any law. We may remove Content that we reasonably believe breaks this Agreement or our other policies.

12. Reporting Conduct

12.1 If a Contractor or other user behaves in a way you believe breaks our Code of Conduct, report it to legal@todaycompliant.com. We will review reports and may act on a Contractor's or user's account as our policies allow.

12.2 TODAY Compliant is neutral. We do not mediate, arbitrate, or decide disputes between you and a Contractor, and we cannot guarantee any Contractor's work, conduct, or response to a report. For disputes about work or payment, contact the Contractor directly, your local consumer protection office, the relevant licensing board, or a court. In an emergency, call 911.

13. Support and Communications

13.1 We provide support by email at legal@todaycompliant.com, and we may offer phone support. Support is provided as a courtesy and does not change this Agreement.

13.2 We will email you about your account, projects, card holds, billing, and changes to our policies. You cannot opt out of these while your account is open. Newsletters include an unsubscribe link.

13.3 By giving us a phone number, you agree that TODAY Compliant may call you from time to time about our business, as described in Section 9.3 of our Privacy Policy. We do not use autodialers or prerecorded voices, and we do not send text messages. You can ask us to stop sales calls at any time.

14. Disclaimers

14.1 The Platform, plans, dashboard, and reviews are provided "as is" and "as available." To the fullest extent the law allows, TODAY Compliant disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Platform will be uninterrupted or error-free.

14.2 We do not guarantee that any Contractor will contact you, the quality, safety, legality, or timeliness of any work, the accuracy of any profile, review, or Contractor statement, or that any Contractor's licenses or insurance remain current or adequate after our review.

15. Limitation of Liability

15.1 To the fullest extent the law allows, TODAY Compliant is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or lost data, arising out of or relating to this Agreement, the Platform, or any Contractor's work or conduct.

15.2 To the fullest extent the law allows, TODAY Compliant's total liability to you for all claims arising out of or relating to this Agreement or the Platform will not exceed the greater of (a) the fees you paid us in the 6 months before the event giving rise to the claim, or (b) $100.

15.3 These limits do not apply to liability that the law does not allow to be limited, such as liability for fraud or willful misconduct.

16. Indemnification

16.1 You will defend, indemnify, and hold harmless TODAY Compliant and its members, managers, employees, and agents from third-party claims, and resulting losses, costs, and reasonable attorneys' fees, arising out of (a) your Content, (b) your breach of this Agreement or violation of law, or (c) your dealings with any Contractor or worker, including your obligations as an employer or placing agency.

16.2 This does not cover any loss to the extent it is caused by the negligence or willful misconduct of TODAY Compliant.

17. Disputes and Governing Law

17.1 Talk to us first. Before starting any formal proceeding, email legal@todaycompliant.com describing the issue. Each party will try in good faith to resolve it within 30 days.

17.2 Arbitration and class action waiver. Any dispute arising out of or relating to this Agreement or the Platform will be resolved under the Dispute Resolution and Arbitration section (Section 20) of our Terms of Service, including its binding individual arbitration, class action waiver, small claims option, and exceptions. That section is part of this Agreement.

17.3 Governing law. This Agreement is governed by the laws of the State of Illinois and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules.

18. Suspension and Termination

18.1 By you. You may close your account at any time. Closing your account also cancels any Pro Plan under Section 6.3.

18.2 By us, for cause. We may remove Content, suspend, or close your account immediately, with notice to you, if we reasonably believe you posted a fake or unlawful project, misused Contractor information, broke our Code of Conduct, or materially breached this Agreement.

18.3 By us, other reasons. We may close your account for any other reason with at least 30 days' notice. If you have a Pro Plan, we will refund any prepaid fee for the time after your account closes.

18.4 Survival. Sections 9.3, 11.2 (as to backups and records), 14, 15, 16, 17, and any payment already due survive termination.

19. Changes, General Terms, and Contact

19.1 Changes. We may update this Agreement. We will post the updated version with a new Last Updated date and email you at least 30 days before a material change takes effect. Changes do not apply to a dispute that arose before the change. If you keep using the Platform after the change takes effect, you accept it. If you do not agree, you may cancel your Pro Plan or close your account before then.

19.2 General. You may not transfer this Agreement without our written consent. We may transfer it to a successor in a merger, acquisition, or sale of assets. If any part is found unenforceable, it will be enforced as far as permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver. Headings and the "Key terms at a glance" summary are for convenience only.

19.3 Contact and notices. We send notices to the email address on your account. You may send notices and questions to:
